Effective date:

1. About these Terms

These Terms of Use ("Terms") govern access to and use of Varqena's public website, waiting list ("waitlist"), early access program ("Early Access") and other pre-launch features that expressly state that they are subject to these Terms.

Varqena is currently in a pre-operational stage. The complete product is still under development, and certain features shown on the website may be demonstrations, previews, simulations or representations of planned functionality.

These Terms do not mean that all features shown will become available and do not constitute a promise to launch any particular feature, price, timeline or specific characteristic.

By requesting Early Access or using a feature expressly subject to these Terms, you state that you have read and agreed to them.

If you do not agree, do not request Early Access or use features subject to these Terms.

2. Who operates Varqena

Until a legal entity is incorporated to operate Varqena, the project is operated by:

Eduardo Rodrigues Leal

Contact:

support@varqena.com

In this document, "Varqena", "we", "us", "our" and equivalent expressions refer to the Varqena project currently operated by the person identified above.

Varqena is in a pre-operational stage and does not currently sell subscriptions or process payments through this landing page.

If the legal structure responsible for the service changes, these Terms will be updated.

3. Eligibility

Varqena, its waitlist and its Early Access program are intended exclusively for people aged 18 or older.

By using features subject to these Terms, you represent that you:

  • are at least 18 years old;
  • have the legal capacity to accept these Terms;
  • provide truthful and reasonably up-to-date information when requested;
  • use Varqena in accordance with applicable laws and regulations.

If you later use Varqena on behalf of a company or other organization, you may be required to represent that you have sufficient authority to act on behalf of that entity.

4. What Varqena is

Varqena is being developed as a Decision Intelligence platform for Liquidity Providers.

Its purpose is to help users understand information and risks related to liquidity positions and may in the future provide, among other features:

  • market condition analysis;
  • probabilistic estimates;
  • scenarios;
  • metrics related to liquidity ranges;
  • estimates related to fees;
  • metrics related to impermanent loss;
  • probabilities that a position will move outside a given range;
  • risk analysis;
  • simulations;
  • information supporting decision-making.

These features are at different stages of development and must not be considered available merely because they appear on the landing page or in demonstration materials.

Actual availability will be communicated separately.

5. Previews, simulations and pre-launch information

During the pre-operational stage, Varqena may display interfaces, charts, forecasts, probabilities, scenarios, ranges, values, metrics, alerts or other elements for demonstration purposes.

Unless expressly stated otherwise:

  • such information may be illustrative;
  • it may not use real-time market data;
  • it may represent features still under development;
  • it may be modified or removed before launch;
  • it does not constitute a promise of future results.

Users should not interpret landing page previews as a representation that a particular feature is already operational or commercially available.

6. Informational nature and decision support

Varqena is designed as an analysis and decision-support tool.

Information, probabilities, forecasts, simulations, scores, scenarios, ranges, alerts, estimates or other outputs presented by Varqena do not constitute a guarantee of future results.

Even where models use historical data, market conditions, statistical methods or machine learning systems, their results are subject to uncertainty, model error, changes in market regimes, data limitations and unforeseeable events.

A probability forecast does not mean that a particular event will necessarily occur or fail to occur.

7. Varqena does not replace your own decision-making

Varqena does not make financial decisions for you.

You remain responsible for evaluating whether a transaction, strategy, position, range, asset, protocol or decision related to Liquidity Providing is appropriate for your circumstances.

No content made available by Varqena should, by itself, be interpreted as a guarantee, promise of profitability or certainty regarding future market behavior.

The presentation of information about a particular protocol, token, pool, position or strategy does not, by itself, represent:

  • a guarantee of security;
  • a guarantee of profitability;
  • a guarantee of liquidity;
  • endorsement of the asset or protocol;
  • a guarantee that it is suitable for a particular user's financial circumstances.

Where appropriate, seek properly qualified professionals for financial, legal, tax or other professional advice.

8. Risks related to Liquidity Providing, DeFi and digital assets

Activities involving Liquidity Providing, decentralized protocols and digital assets involve significant risks.

These risks may include, among others:

  • asset volatility;
  • impermanent loss;
  • positions moving outside defined ranges;
  • reduced or absent fees;
  • low liquidity;
  • slippage;
  • gas costs;
  • blockchain congestion;
  • smart contract failures;
  • exploits;
  • bugs;
  • economic attacks;
  • oracle failures or manipulation;
  • stablecoin depegs;
  • changes in pool liquidity;
  • changes to protocol rules or parameters;
  • issues with bridges or external infrastructure;
  • failures of RPCs, APIs or data sources;
  • regulatory events;
  • partial or total loss of the economic value of the assets involved.

The existence of Varqena analyses does not eliminate these risks.

Past behavior of a pool, protocol, token or strategy does not guarantee future behavior.

9. Risks of models, data and forecasts

Varqena may use statistical methods, machine learning, simulations and other quantitative techniques.

These systems have limitations.

Results may be affected by factors such as:

  • incomplete data;
  • delayed data;
  • indexing errors;
  • abrupt market changes;
  • rare events;
  • limited historical representativeness;
  • changes in participant behavior;
  • failures of data providers;
  • incorrect assumptions;
  • software errors;
  • model limitations;
  • differences between simulated conditions and real-world conditions.

Probabilities produced by a model are estimates conditioned on the data and methodology used and are not certainties regarding future events.

Varqena may update, recalibrate, replace or discontinue models as the product evolves.

10. Relationship with Uniswap, Ethereum and third parties

Varqena is an independent project.

Unless expressly stated otherwise, Varqena is not affiliated with, controlled by, sponsored by or endorsed by Uniswap Labs, the Uniswap Foundation, the Ethereum Foundation or the operators of protocols, tokens, blockchains and third-party services that may be mentioned in the product.

"Uniswap", "Ethereum" and other trademarks or names belong to their respective owners.

Blockchain protocols and smart contracts are systems external to Varqena.

Varqena does not control:

  • Ethereum;
  • the Uniswap Protocol;
  • liquidity pools;
  • third-party smart contracts;
  • validators;
  • sequencers;
  • bridges;
  • RPC providers;
  • tokens;
  • oracles;
  • wallets;
  • exchanges;
  • other external services.

The availability or behavior of these systems may affect information or features provided by Varqena.

11. No custody or execution at the current stage

Within the current scope of the landing page and waitlist, Varqena:

  • does not hold custody of digital assets;
  • does not receive cryptocurrency deposits;
  • does not request seed phrases;
  • does not request private keys;
  • does not move user funds;
  • does not execute swaps;
  • does not add or remove liquidity on behalf of users;
  • does not sign blockchain transactions;
  • does not automatically execute rebalancing.

If any of these characteristics change in future versions of the product, the applicable terms will be updated before or at the appropriate time.

Never provide your seed phrase or private key to Varqena through a form, email or any other channel.

12. Early Access and beta versions

Participation in the waitlist does not guarantee access to the beta, final product or any specific feature.

Varqena may select Early Access participants using criteria related to the stage of the product, usage profile, operational capacity, technical availability, testing needs or other reasonable criteria.

During beta or Early Access stages:

  • features may be incomplete;
  • errors and interruptions may occur;
  • interfaces may change;
  • models may be recalibrated;
  • data may be delayed or unavailable;
  • features may be added or removed;
  • access may be temporarily suspended;
  • the program may be discontinued.

We do not recommend relying on experimental features as the sole source for financially significant decisions.

13. Changes and availability

As a product under development, Varqena may modify, add, limit, suspend or discontinue features.

We may perform maintenance and technical changes without announcing every change in advance.

Where reasonably possible, material changes directly affecting active users may be communicated.

We do not guarantee continuous or uninterrupted availability of the landing page, waitlist, Early Access or future features.

This does not exclude mandatory rights that may be provided by applicable law.

14. Permitted use

You may use Varqena only lawfully and in a manner consistent with these Terms.

You must not:

  • attempt to obtain unauthorized access to systems or accounts;
  • exploit security vulnerabilities;
  • intentionally interfere with service availability;
  • circumvent rate limits or protection mechanisms;
  • perform denial-of-service attacks;
  • distribute malware;
  • use scripts or automation in a way that harms the infrastructure;
  • send abusive volumes of requests;
  • attempt to access secrets, credentials or third-party data;
  • use Varqena for fraud or unlawful activity;
  • impersonate another person;
  • deliberately submit false information for abusive purposes;
  • violate intellectual property rights;
  • use the service in a manner inconsistent with applicable law.

Unauthorized security testing against production infrastructure is also prohibited.

To report a vulnerability, contact support@varqena.com.

15. Intellectual property

Unless otherwise indicated, Varqena's visual identity, original design, texts, interfaces, proprietary components, content organization, models, proprietary methodologies and other original materials are protected under applicable law.

Use of the website or participation in Early Access does not transfer intellectual property rights in these elements to you.

You may not use Varqena trademarks, logos or proprietary elements in a way that suggests an affiliation, partnership or endorsement that does not exist.

15.1. Third-party software and components

Varqena may use third-party libraries, protocols, data, software or other components subject to their respective licenses.

Nothing in these Terms changes rights granted directly under open-source or third-party licenses.

16. Feedback

If you voluntarily provide suggestions, ideas, bug reports or other product feedback, we may use them to evaluate, improve and develop Varqena.

Providing feedback does not automatically create an obligation to implement a suggestion or compensate the user.

You should avoid submitting confidential materials or third-party information that you do not have the right to share.

17. Third-party services and links

Varqena may contain links or references to:

  • Uniswap;
  • blockchains;
  • explorers;
  • DeFi protocols;
  • social networks;
  • documentation;
  • data providers;
  • other third-party services.

These services are operated independently.

Varqena does not control their terms, availability, security, content or privacy practices.

Access to such services may be subject to their own terms.

The presence of a link or reference should not automatically be interpreted as endorsement or a guarantee by Varqena.

18. Privacy and personal data

The processing of personal data related to the landing page, waitlist and Early Access is explained in the Varqena Privacy Policy.

By requesting Early Access, you confirm that you had the opportunity to review that Policy.

The Privacy Policy should not be confused with general consent to marketing.

Promotional communications or newsletters unrelated to Early Access may, if offered in the future, use a separate opt-in mechanism where applicable.

19. Waitlist-related communications

By requesting Early Access, you may receive communications related to the purpose of the waitlist, including:

  • relevant development updates;
  • launch information;
  • testing opportunities;
  • beta availability;
  • access invitations;
  • material changes related to the Early Access program.

These communications are distinct from newsletters or general promotional marketing.

20. Service warranties and limitations

Varqena seeks to develop and operate its services with reasonable care, but software, networks, data and quantitative models may fail or become unavailable.

To the extent permitted by applicable law, we do not guarantee that:

  • forecasts will always be correct;
  • probabilities will correspond to outcomes actually observed;
  • external data will always be current;
  • the service will be available without interruption;
  • every error will be identified or corrected immediately;
  • an analyzed strategy will produce a particular economic result;
  • particular fees will be earned;
  • impermanent loss will be avoided;
  • a particular position will remain within a range.

Nothing in this section excludes or limits rights or liabilities that cannot lawfully be excluded or limited.

21. User responsibility for decisions

You are responsible for decisions made based on information available through Varqena.

Before carrying out transactions involving digital assets, consider performing your own assessment of market conditions, protocols, smart contracts, liquidity, fees, risks and other relevant factors.

You are also responsible for:

  • the security of your wallets;
  • your credentials;
  • your private keys;
  • compliance with your tax obligations;
  • compliance with laws applicable to your activities;
  • confirmation of transactions you choose to perform through external services.

Varqena does not control transactions executed directly by users through third-party protocols within the current scope of these Terms.

22. Limitation of liability

Varqena's liability will be determined in accordance with applicable law.

To the maximum extent permitted by law, Varqena will not be responsible for losses arising exclusively from risks inherent to markets and external systems outside its control, such as:

  • price fluctuations;
  • impermanent loss;
  • behavior of third-party protocols;
  • blockchain failures;
  • failures of third-party smart contracts;
  • depegs;
  • gas costs;
  • independent decisions made by the user.

This provision does not exclude liability that cannot lawfully be excluded or limited and does not reduce mandatory consumer rights that may apply.

Nothing in these Terms should be interpreted as a waiver of rights guaranteed by mandatory law.

23. Suspension or restriction of access

We may restrict or suspend access to features where there is a reasonable basis to do so, including:

  • attempted security compromise;
  • abusive automated activity;
  • fraud;
  • violation of these Terms;
  • unlawful use;
  • urgent technical necessity;
  • material risk to infrastructure or other users.

Where applicable and reasonable, the measure will be proportionate to the circumstances identified.

24. Changes to these Terms

These Terms may be updated to reflect:

  • Varqena's evolution;
  • launch of new features;
  • changes to the project's legal structure;
  • regulatory changes;
  • material operational changes;
  • new risks associated with the service.

The version and last updated date will be displayed at the beginning of the document.

Where changes are materially relevant to users already subject to these Terms, we may provide additional notice or request renewed acceptance where appropriate.

25. Governing law and dispute resolution

These Terms will be interpreted in accordance with the laws of the Federative Republic of Brazil.

Nothing in this section affects mandatory rights relating to jurisdiction, venue or consumer protection that apply in a particular case.

Before initiating a formal dispute, we encourage users to contact:

support@varqena.com

so that we may attempt to resolve the matter directly.

26. General provisions

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in effect to the extent permitted by law.

Any tolerance regarding a breach of a provision does not constitute a permanent waiver of the right to enforce it later.

These Terms, together with the Privacy Policy and any additional terms presented for specific features, form the set of rules applicable to the scope described in each document.

If these Terms conflict with specific terms for a future feature, the specific terms may prevail solely with respect to that feature where so stated.
